We provide support to our client companies throughout all phases of the extraordinary transaction: right from the initial stages of determining an exit strategy to post-closing activities. Determine corporate value(s), support during the negotiation(s), Due Diligence, and Contracts.

Who is entitled to the service?

The service is mainly intended for mono-generational as well as multi-generational families who aim to make their companies fit for the future, before transferring ownership of the company or branches thereof. This can happen either through the transfer of the business or by means of the capital opening procedure and thus the entry of new investor members. These are usually entrepreneurial families who have chosen to exit the business making the most of their tangible and intangible corporate assets, or who need to allow new know-how as well as new members to own company shares in order to encourage further growth.

The main themes explored

• Value measurement and preparation of the Company and its leaders
• The search for industrial and financial investors, and relationship management
• Support during due diligence and in every moment of the process
• Drafting of agreements, contracts and specific test reports
• Assistance in the stages of closing and post-closing.

 How we work

In these situations, our role is always that of advisor and guide for what concerns target extraordinary operations.
This means that we work on behalf of our clients, holding ourselves accountable for the relationship with the new investor members, leading and coordinating the activities carried out by every professional involved in the operation: lawyers, accountants and all of the other consultancy professionals; as well as being responsible for managing the operations by adopting a technical approach.
